Binding Agreement

Welcome to ToledoBuzz.com (the “Platform”), owned and operated by ToledoBuzz LLC (“we,” “our,” or “us”). By accessing, browsing, registering an account on, or otherwise using this website, our mobile applications, streaming video players, or related digital and physical media services, you (the “User”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and our accompanying Privacy Policy. Using the site means you agree to these legally binding terms. If you do not agree to all of these Terms, you must immediately discontinue your use of the Platform and any associated services.

Age & Eligibility & Parental Consent Requirements

You must be at least 13 years of age to visit and browse the Platform. ToledoBuzz operates as an independent digital media publication, local entertainment hub, and news aggregator. The Platform features original journalism, editorials, cultural commentary, event schedules, as well as aggregated summaries, headlines, previews, and outbound links to third-party news sources.

FAST Channel & Video Services

These Terms apply fully to all streaming video services, on-demand media players, embedded video feeds, and Free Ad-Supported Television (FAST) broadcast streams operated by ToledoBuzz across web, mobile, and connected television environments.

Print & Merchandise Integration

From time to time, ToledoBuzz may offer physical goods, including limited-run print magazine, apparel, promotional items, and merchandise. All purchases of physical products are subject to our product fulfillment, return, and shipping terms detailed at checkout, alongside these overarching Terms.

3. Intellectual Property, Licensing & Media Restrictions

ToledoBuzz IP & Protection

All site materials, software, features, and functionality available on the Platform—including, but not limited to, the ToledoBuzz brand name, logos, site design, custom front-end code, UI layouts, graphics, databases, original articles, audio recordings, and video productions—are the exclusive property of ToledoBuzz LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Personal Play & Usage Restrictions

Media files, streams, and digital assets on the site are strictly for personal play and non-commercial use. Users receive a limited, non-transferable, non-exclusive license for personal use only. Users cannot sell them, give them away, redistribute them, reverse-engineer site architecture, or claim to have made them without explicit written permission from ToledoBuzz LLC.

Aggregated Third-Party Content

Portions of the Platform feature news summaries, headlines, RSS feeds, and imagery sourced from third-party publishers and wire services. All third-party trademarks, service marks, logos, and news snippets belong to their respective copyright holders, utilized under fair use or direct syndication agreements.

4. Music Video & Content Submission Agreement

This Music Video & Content Submission Agreement forms a binding part of our operational framework, entered into by and between the submitting artist, copyright holder, or authorized representative (“Licensor”) and ToledoBuzz LLC (“Licensee”), governing the submission and digital distribution of media content.

Grant of License

Licensor hereby grants to Licensee a limited, non-exclusive, worldwide, royalty-free license to exhibit, broadcast, stream, reproduce, host, market, promote, adapt, and otherwise use the submitted music video, audio track, imagery, and associated promotional metadata (collectively, the “Content”) in perpetuity across current and future digital properties operated by or associated with ToledoBuzz.

Scope of Distribution Platforms

The distribution rights granted herein specifically include, but are not limited to, the following channels and mediums:

• ToledoBuzz.com: Direct web hosting, editorial features, artist spotlights, and embedded media players.

• Social Media Accounts: Official ToledoBuzz channels across current and emerging platforms (including YouTube, TikTok, Instagram, X/Twitter, Facebook, and related short-form or long-form video networks).

• Affiliated Media & Spin-Offs: Any future subsidiary media companies, regional newsletters, print companion editions, or specialized local culture verticals owned or operated under the ToledoBuzz corporate umbrella.

• FAST Channels & Linear Streaming: Free Ad-supported Streaming TV (FAST) channels, programmed linear streaming blocks, and automated playout networks operated by Licensee.

• Embedded Widgets & Third-Party Syndication: Syndicated video embeds hosted on partner network sites, regional event pages, and community aggregator portals.

Perpetuity and Financial Terms

The license granted under this section shall endure in perpetuity unless mutually revoked in writing or upon permanent cessation of ToledoBuzz operations. In consideration for the promotional exposure, regional audience cultivation, and digital distribution provided by Licensee, the license is granted on a royalty-free basis. Licensor retains ownership of the underlying master recordings and copyright, and Licensee owes no financial residuals or broadcast performance fees for standard streaming and distribution under the scope of this Agreement.

Licensor Representations & Warranties

Licensor represents and warrants that:

• (a) they are the sole copyright owner or authorized agent of the Content with full authority to grant these rights;

• (b) the Content does not infringe upon the intellectual property, privacy, or statutory rights of any third party; and

• (c) all necessary music publishing, synchronization, and master use clearances have been fully secured.

Execution & Acceptance of Submissions

By submitting the Content via digital upload, email, or direct media transfer to ToledoBuzz, Licensor acknowledges that they have read, understood, and agreed to the terms outlined in this Content Submission Agreement.

5. Acceptable Use Policy, Message Boards & User Conduct

Prohibited Activities

When using ToledoBuzz.com, you agree not to engage in any of the following prohibited activities:

• Automated Scraping & Data Harvesting: Utilizing spiders, robots, screen scrapers, data mining tools, or unauthorized automated scripts to extract content, articles, user data, or source code from the Platform.

• Security Breaches & Malware: Attempting to probe, scan, or test the vulnerability of the Platform, bypassing security measures, hacking servers, or uploading malicious code, viruses, trojan horses, worms, or cancelbots.

• Commercial Misuse: Unauthorized resale, commercial redistribution, scraping for commercial advantage, or mass syndication of ToledoBuzz articles, video streams, sponsor assets, or proprietary layouts without explicit written authorization.

Message Boards, Chat Content & User Postings

Most message board, chat, and comment section content comes from other young users and peers, not ToledoBuzz. While the site aims to maintain a clean environment and proactively handle inappropriate messages, ToledoBuzz is not responsible or liable for what other children or users say.

Users represent and warrant that their postings and chat submissions do not infringe on third-party rights, violate privacy laws, or contain unlawful material. ToledoBuzz assumes no liability for user postings, but reserves the right to review, edit, or remove inappropriate content at any time.

Perpetual Usage Rights for Submissions & Chats

By submitting thoughts, chat messages, ideas, or comments (with parental permission where applicable), users grant ToledoBuzz a perpetual, worldwide, royalty-free right to use, repeat, adapt, publish, or advertise their statements anywhere in the world, forever, across any media format.

6. Contests, Sweepstakes & Activities

Specific rules, guidelines, or entry terms posted for individual sweepstakes, contests, or interactive promotional activities on the site take precedence if they conflict with any provisions of this general agreement.

7. Advertising, Sponsorships, & Third-Party Links

Sponsor Integration

ToledoBuzz partners with local businesses, independent record labels, cultural institutions, and commercial sponsors. You acknowledge and agree that the Platform may feature native advertisements, sponsored editorial posts, branded video integrations, and promotional placements across our web, video, and print editions.

External Links Disclaimer

Our news aggregation features and articles frequently include hyperlinks pointing to external third-party websites, news outlets, and social media platforms. ToledoBuzz does not endorse or take responsibility for the content, products, accuracy, privacy policies, security practices, or reliability of any external third-party websites linked from the site. Accessing external links is done entirely at your own risk.

8. Copyright Policy & DMCA Compliance

ToledoBuzz employs robust measures to prevent copyright infringement and complies with the Digital Millennium Copyright Act (DMCA).

Notice and Take-Down Procedures

If you are a copyright owner or an agent thereof and believe that any content hosted on ToledoBuzz.com infringes upon your copyrights, you may submit a written notification pursuant to the DMCA by providing our Designated Agent with the following information:

9. Disclaimers, Limitation of Liability & Indemnification

“As-Is” and “As-Available” Basis

The Platform, including all web articles, streaming video channels, message boards, mobile applications, print editions, and digital content, is provided on an “AS-IS” and “AS-AVAILABLE” basis, without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, ToledoBuzz disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, secure, or free of system infections, viruses, or other harmful components.

Limitation of Liability

• Inaccurate news aggregation previews, third-party content errors, or broken hyperlinks;

• User-generated chat messages or message board conduct; or

• Any system infections, errors, or damages resulting from the use of the site.

Indemnification

Users agree to defend, indemnify, and hold harmless ToledoBuzz LLC and its affiliates, officers, agents, and partners from and against any losses, liabilities, claims, damages, demands, or legal costs (including reasonable attorneys’ fees) arising out of or resulting from a violation of this agreement, misuse of the Platform, or infringement of any third-party right.

10. Governing Law, Jurisdiction & Miscellaneous

Geographic Intent & Miscellaneous

The site is controlled and operated from New York and is intended exclusively for United States residents, subject to strict adherence to U.S. export laws and regulations.

California Privacy Rights

Pursuant to California Civil Code Section 1798.83, California residents are entitled to request specific information regarding the disclosure of their personal data to third parties for direct marketing purposes. Such requests may be submitted to our compliance contact email.

Governing Law & Dispute Resolution

These Terms, the Music Video & Content Submission Agreement, and any action related thereto, shall be interpreted, enforced, governed, and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of ToledoBuzz.com shall be brought exclusively in the state or federal courts located within the State of New York, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
